A strong corporate legal ally, Phyllicia (Hoffman) Tanenbaum brings over 6 years of “big law” experience to Fluet and counsels clients ranging from startups to large, publicly traded corporations in various industries, including government contracting. As part of her practice, Ms. Tanenbaum assists companies through all stages of the company’s life cycle, including handling formation and governance issues, as well as drafting and negotiating shareholder agreements, asset and equity purchase agreements, financing agreements, synthetic equity and other executive compensation plans, and non-disclosure agreements. She also supports businesses in complex commercial transactions involving commercial lending, mergers and acquisitions, corporate reorganizations, and private investment and venture capital transactions and advises on matters related to creditors’ rights.
Ms. Tanenbaum has a strong desire to help organizations operate smoothly, which informs her legal approaches. Prior to joining Fluet, she represented clients at a large, national law firm where she provided sophisticated counsel and advocacy to secured and unsecured creditors, debtors, creditors’ committees, trustees, restructuring professionals, and parties interested in purchasing assets in bankruptcy cases.
Additionally, her background includes litigating avoidance actions, including preferences, fraudulent conveyances, and claims determinations. She has regularly analyzed secured creditor status of banks and other lenders, as well as various debtor and creditor issues, such as fraud, deceptive marketing practices, and disputes with licensing and certification. Ms. Tanenbaum also provided services to assist and protect clients in pre-bankruptcy debtor-creditor matters, including restructurings and workouts, receiverships, pre-judgment attachments, foreclosures, UCC sales, asset sales, assignments, collections, and liquidations.
Ms. Tanenbaum graduated summa cum laude with a Bachelor of Arts in Political Science from Christopher Newport University and received her J.D. from George Mason University Antonin Scalia Law School.
Ms. Tanenbaum grew up in Newport News, Virginia and now lives in Maryland with her husband and two children. She enjoys fitness training, concerts, and high-thrill roller coasters.
